These Terms of Service (“Terms”) govern your access to and use of the products and services (“Services”) provided by Neural Partners LLC (“Neural Partners,” “we,” “us,” or “our”). By engaging with our Services, you agree to these Terms and any agreements specifically executed between you and Neural Partners.

1. Scope of Services

Neural Partners provides strategy, consulting, and technology services, including but not limited to artificial intelligence implementation, analytics, marketing technology integration, and software development. The exact scope, deliverables, and timeline for Services will be defined in one or more written agreements or statements of work (“SOWs”) between Neural Partners and the client (“Client,” “you”).

2. Payment Terms

Unless otherwise stated in a signed agreement or contract, payment terms and fees for our Services will be defined in the respective agreement executed by the parties. Clients are expected to follow the terms outlined in each specific contract.

Late payments may be subject to interest and/or administrative fees as stated in the applicable agreement. If no interest rate is stated, the default will be 1.5% per month (or the maximum rate allowed by applicable law).

3. Intellectual Property

Unless otherwise agreed in writing:

• Neural Partners retains ownership of any proprietary tools, methods, frameworks, or pre-existing intellectual property used in the delivery of Services.
• Clients retain ownership of their proprietary data and any deliverables specifically created for and paid for by the Client.

Any licensing or use of intellectual property will be governed by the applicable contract or statement of work.

4. Confidentiality

Both parties agree to maintain the confidentiality of any non-public, proprietary, or sensitive information disclosed during the course of the engagement (“Confidential Information”). Neither party will disclose or use the other party’s Confidential Information for any purpose other than fulfilling its obligations under these Terms or the relevant agreement.

This obligation shall survive termination of the agreement for a period of three (3) years.

5. Warranties and Disclaimers

Neural Partners will use reasonable skill and care in providing the Services. However, except as expressly stated in a written agreement:

• We provide the Services “as is” and make no guarantees regarding outcomes, performance improvements, or specific business results.
• To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

To the fullest extent permitted by law:

• Neural Partners shall not be liable for any indirect, incidental, consequential, or punitive damages, or for loss of revenue, profits, or data, arising out of or related to your use of the Services.
• Our total liability for any claim arising out of or related to these Terms or the Services shall not exceed the fees paid by you to Neural Partners in the twelve (12) months preceding the claim.

7. Termination

Either party may terminate a service engagement by providing written notice in accordance with the termination provisions set out in the relevant agreement.

Upon termination:

• All outstanding payments become due.
• Each party shall return or destroy any Confidential Information received from the other party upon request.

8. Governing Law

These Terms, and any related agreements, are governed by and construed in accordance with the laws of the State of Vermont, without regard to its conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Burlington, Vermont.

9. Entire Agreement

These Terms, along with any executed agreements, constitute the entire agreement between you and Neural Partners relating to the Services and supersede all prior understandings or communications, whether oral or written.
